Welcome to drinkaegis.com (the "Site"), operated by AEGIS Brands Inc. ("Aegis," "Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our Site, products, subscriptions, content, services, promotions, and any other interactions you have with Aegis (collectively, the "Services").

Please read these Terms carefully. By accessing or using our Services, purchasing products from us, or creating an account, you agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree, do not use our Services.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use our Services. By using our Services, you represent and warrant that:

• you are at least 18 years old;
• all information you provide is truthful and accurate;
• you will comply with all applicable laws; and
• you are using our Services only for lawful purposes.

Our Services are not intended for children under 18.

2. Products & Product Information

Aegis offers premium nutritional and functional beverage products designed to support energy, performance, focus, and wellness.

We strive to present accurate product descriptions, ingredients, imagery, and pricing; however:

• product packaging may vary slightly from images shown;
• ingredients, formulations, and packaging may change;
• pricing may change at any time;
• availability is not guaranteed; and
• occasional typographical or pricing errors may occur.

We reserve the right to correct any error and cancel orders arising from pricing or inventory mistakes.

Aegis reserves the right to limit quantities, discontinue products, revoke promotions, correct pricing or typographical errors, and cancel orders at any time, including after an order has been submitted or payment has been processed. If payment has already been processed for a canceled order, Aegis will issue a refund to the original payment method.

3. Health & FDA Disclaimer

Information provided by Aegis is not medical advice and should not be treated as a substitute for professional medical guidance. Consult your physician before using Aegis products if you:

• are pregnant or nursing;
• have a medical condition;
• are taking medication;
• are under physician supervision; or
• have concerns regarding supplement use.

Use products only as directed. Customers with allergies or sensitivities are responsible for carefully reviewing all ingredient disclosures and product labeling prior to use. Product formulations may change from time to time.

4. Orders

When you place an order, you agree that:

• you are authorized to use the payment method submitted;
• billing and shipping information is accurate;
• we may verify payment details;
• we may refuse, cancel, or limit any order in our sole discretion.

We reserve the right to reject orders for:

• suspected fraud;
• abuse of promotions;
• resale or unauthorized commercial distribution;
• suspicious purchasing behavior; or
• legal/regulatory compliance reasons.

Title and risk of loss pass to you upon delivery to the carrier. While risk of loss transfers upon delivery to the carrier, Aegis may, at its discretion, assist customers with reasonable carrier claim support relating to lost, stolen, or damaged shipments.

Aegis reserves the right to refuse service, suspend accounts, restrict transactions, or terminate access to the Services at its sole discretion, including in cases involving suspected fraud, abuse, chargebacks, resale activity, policy violations, harassment, unlawful conduct, or misuse of promotions.

5. Subscription Terms

Aegis may offer recurring subscription purchases for certain products. Current subscription offerings may include recurring monthly deliveries of approximately 30 servings of Aegis products billed at the then-current subscription rate (currently $89 USD, subject to change).

Subscriptions automatically renew on a recurring basis unless cancelled.

Cancellation / Pause

You may cancel or pause your subscription at any time directly through your customer account portal or by contacting info@drinkaegis.com.

To avoid your next recurring charge, cancellation or pause requests must be submitted at least 72 hours before your next billing date. Requests submitted within the 72-hour processing window may apply to the following billing cycle.

Aegis aims to provide a cancellation process that is simple and substantially similar to the signup process. If your payment method cannot be processed, we may retry billing or suspend fulfillment until payment is successfully processed.

Aegis reserves the right to change subscription pricing, packaging, product availability, shipment timing, or subscription benefits at any time. Any material pricing changes will apply prospectively and may be communicated electronically. Your subscription will remain active until cancelled.

6. 45-Day Guarantee

Purchases may be eligible for Aegis' applicable satisfaction guarantee, as described in our Refund Policy. Guarantee terms are incorporated into these Terms by reference.

Aegis reserves the right to deny abusive, fraudulent, or bad-faith refund claims.

7. Shipping

At this time, Aegis products are sold and shipped within the United States only.

Shipping estimates are estimates only — not guaranteed delivery dates. We are not liable for delays caused by:

• carriers;
• weather;
• customs;
• force majeure;
• supply chain disruptions;
• address errors submitted by customer.

Customers are responsible for accurate shipping information. Returned shipments caused by customer error may incur additional charges.

8. No Resale

Products are sold for personal use only. You may not:

• resell;
• redistribute;
• wholesale;
• list on Amazon, Walmart Marketplace, eBay, TikTok Shop, or similar marketplaces;
• exploit Aegis products commercially without written authorization.

Unauthorized resale may result in canceled orders and legal action.

9. Intellectual Property

All content associated with Aegis — including trademarks, logos, product names, formulas, text, design, branding, imagery, video, educational content, The Aegis Field Manual, and website functionality — is owned by Aegis or its licensors and protected by intellectual property laws.

You may not reproduce, copy, modify, distribute, or commercially exploit Aegis content without written permission.

Aegis™, AEGIS, and related marks are proprietary rights of Aegis.

10. User Content, Testimonials & Reviews

If you submit reviews, comments, photos, videos, testimonials, social media posts tagging Aegis, before/after stories, feedback, or ideas ("User Content"), you grant Aegis a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, edit, publish, display, distribute, advertise, market, and create derivative works from that content in any medium.

You represent you have rights to grant that license. You waive claims for compensation unless separately agreed in writing.

11. Promotions, Referral & Ambassador Programs

Aegis may offer:

• referral programs;
• ambassador programs;
• affiliate programs;
• loyalty rewards;
• promotional offers.

Such programs may be governed by separate terms, which are incorporated by reference where applicable. We may modify or terminate any program at any time. Fraudulent or manipulative conduct voids eligibility.

12. Prohibited Conduct

You agree not to:

• violate laws;
• interfere with Site operation;
• hack or scrape the Site;
• distribute malware;
• impersonate another person;
• use bots without authorization;
• misuse promotions;
• infringe intellectual property rights;
• harass employees or customers;
• submit false reviews;
• attempt unauthorized access to systems.

Violation may result in termination and legal action.

13. Privacy

Your use of our Services is subject to our Privacy Policy. By using our Services, you consent to collection and use of information consistent with that policy.

You agree to defend, indemnify, and hold harmless Aegis and its officers, directors, employees, affiliates, contractors, and agents from claims arising from:

• violation of law;
• infringement of third-party rights.

19. Binding Arbitration & Class Action Waiver

Any dispute arising out of these Terms or your use of Services shall be resolved through confidential, binding individual arbitration administered by JAMS. Arbitration may occur:

• remotely;
• by written submission;
• or in Orange County, California.

Either party may seek relief in small claims court where appropriate.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where federal law preempts.

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity or enforceability of the remaining provisions.

No waiver by Aegis of any provision or right under these Terms shall constitute a continuing waiver of such provision or right or a waiver of any other provision or right. Any failure by Aegis to enforce any provision of these Terms shall not constitute a waiver of future enforcement of that or any other provision.

Aegis may assign or transfer its rights and obligations under these Terms, including in connection with a merger, acquisition, restructuring, sale of assets, or operation of law. You may not assign or transfer your rights or obligations under these Terms without prior written consent from Aegis.

Aegis shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to supply chain disruptions, ingredient shortages, manufacturing delays, labor disputes, carrier interruptions, acts of God, natural disasters, governmental actions, war, terrorism, cyberattacks, utility failures, or internet outages.

The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, arbitration provisions, limitation of liability provisions, indemnification obligations, and any payment obligations.

By placing an order, creating an account, or otherwise using the Services, you consent to receive electronic communications from Aegis and agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

These Terms, together with any policies or documents incorporated by reference, constitute the entire agreement between you and Aegis regarding the Services and supersede any prior or contemporaneous communications, understandings, or agreements.
